Terms of Service

The rules and agreements governing your use of cartiapps.com, our Shopify apps, and any services we provide.
1. Agreement to terms
By accessing cartiapps.com, installing one of our Shopify apps, or engaging Carti Apps for development services, you agree to be bound by these Terms of Service (Terms). If you do not agree, do not use our website, apps, or services.
Carti, we, us, and our refer to Carti Apps. You and your refer to the individual or entity using our website, apps, or services.
These Terms apply alongside our Privacy Policy. Client-specific engagements may have additional contracts that supersede these Terms for that specific work.
2. Website use
You may use cartiapps.com for lawful purposes only. You agree not to:
- Use the website in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the website
- Use automated scripts, bots, or scrapers without our written permission
- Interfere with or disrupt the website's operation
- Use the website to transmit malware, phishing content, or harmful code
We reserve the right to suspend or terminate access for any user who violates these Terms.
3. Shopify app use
Our Shopify apps are distributed through the Shopify App Store. Use of each app is governed by:
- These Terms of Service
- The Shopify App Store Terms of Service
- Each app's specific Privacy Policy and EULA
- The pricing terms displayed on the Shopify App Store at time of install
Free trials: Most apps include a 14-day free trial. You will not be charged during the trial period. After the trial, your selected plan billing begins automatically unless you uninstall.
Uninstall: You may uninstall any Carti app from your Shopify admin at any time. Uninstalling stops future billing immediately. We do not provide refunds for partial billing periods (see Section 7).

4. Client engagements
Custom Shopify development engagements (migrations, themes, custom apps, audits, retainers) are governed by a signed Statement of Work (SOW) in addition to these Terms.
Fixed scope, fixed price
All engagements are fixed-scope, fixed-price, and fixed-timeline unless explicitly stated otherwise in the SOW. We do not bill hourly for client work. If we under-quote, we absorb the cost.
Scope changes
Changes outside the agreed scope are billed as a separate SOW. Two rounds of feedback are included on each deliverable; additional rounds may incur additional cost.
Timeline commitments
We commit to project timelines specified in the SOW. If we miss a milestone, we'll communicate immediately and propose corrective action. Client-side delays (slow feedback, content delivery delays) may shift the timeline accordingly.
Team
The team members named in the SOW are the team members who will deliver the work. Substitutions require client approval.
5. Intellectual property
Our IP
The cartiapps.com website, our Shopify apps, our development tools, and any pre-existing IP we use during engagements remain our property. You receive a license to use them as specified in the relevant agreement.
Client IP
For client engagements, you retain full ownership of:
- Your brand, content, and existing intellectual property
- Custom code, themes, and apps developed for your specific store under a paid SOW (upon final payment)
- Data you provide to us during the engagement
Open-source components
Our work may include open-source components (e.g., Dawn theme, npm packages). Those components remain under their original open-source licenses.
Portfolio rights
Unless otherwise agreed in writing, we retain the right to:
- Reference your engagement in case studies (subject to your approval of specific copy and metrics)
- Display your logo on our website and marketing materials
- Mention you as a client in general terms
If you require confidentiality, we'll honor it — say so in the SOW.
6. Fees and payment
App billing
Shopify app subscriptions are billed monthly through Shopify's billing system. Pricing is shown on each app's Shopify App Store listing.
Client engagement billing
Unless the SOW specifies otherwise:
- 50% deposit due on contract signature
- 50% balance due on launch / final delivery
- Retainer engagements are billed monthly in advance
- Net 15 payment terms for invoices
Late payments may incur a 1.5% monthly late fee and may pause work in progress.
7. Refunds and cancellation
App refunds
We don't typically refund Shopify app subscription fees. Most apps offer a 14-day free trial — please use it. If you believe you have a genuine refund case (e.g., the app caused damage, billing error), email support@cartiapps.com and we'll review case by case.
Client engagement refunds
If you cancel before work begins, the 50% deposit is refundable minus reasonable administrative costs (typically <$500). Once work has begun, deposits are non-refundable, but you receive all work-in-progress completed to date.
Audit refunds
If we conduct an audit and genuinely find no actionable improvements worth at least the audit cost in revenue impact, we refund the audit fee. This has happened 4 times in 14 years.
8. Warranties and disclaimers
What we warrant
- We deliver client work in accordance with the SOW
- Our apps function as described in their App Store listings
- We exercise reasonable skill and care in all engagements
- For each client deliverable, we provide a 30-day warranty period to fix any bugs caused by our work (excluding bugs caused by third-party apps, theme conflicts you've introduced, or platform changes by Shopify)
What we don't warrant
Except as expressly stated, our website, apps, and services are provided as is without warranties of any kind. We do not warrant that:
- The website or apps will be uninterrupted or error-free
- Specific business outcomes (conversion lift, SEO rankings, revenue) will materialize, even if discussed during scoping
- Our recommendations will produce specific financial results for your business
Where we commit to specific performance targets in an SOW (e.g., a Lighthouse score target), those commitments are binding for that engagement only.
9. Limitation of liability
To the maximum extent permitted by law, Carti Apps shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, lost revenue, lost data, or business interruption
- Damages exceeding the amount paid by you to Carti in the 12 months preceding the claim
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise). Some jurisdictions don't allow these limitations — in which case our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify and hold Carti Apps harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:
- Your violation of these Terms
- Your violation of applicable laws or third-party rights
- Content or data you provide to us
- Your use of our apps or services in a manner not authorized by these Terms
11. Governing law
These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles. Any disputes arising from these Terms or our services will be resolved in the courts of [Jurisdiction], unless the parties agree to alternative dispute resolution.
For clients in jurisdictions with consumer protection laws that grant additional rights, those laws apply alongside these Terms.
12. Changes to terms
We may update these Terms from time to time. Material changes will be announced via email (to active clients) and posted on cartiapps.com with a banner notice. Continued use of our website, apps, or services after changes means you accept the updated Terms.
For active client engagements, the Terms in effect at the time of SOW signature govern that engagement, unless both parties agree in writing to updated terms.
